Non-Disclosure Agreement (NDA)
This NDA is entered into between Party A (Taiwan Manufacturer) and Party B (US Buyer) effective from the date of signing, for a term of three (3) years.
1 Confidential Information: Includes drawings, process parameters, pricing, customer lists, and business plans marked as confidential.
2 Obligations: Party B shall not reproduce, distribute, or use Confidential Information for any purpose other than the stated cooperation.
3 Exceptions: Publicly available information, independently developed information, and legally compelled disclosures are excluded.
4 Remedies: Breach entitles the disclosing party to damages and injunctive relief.
